Terms and Conditions

Effective date: April 2, 2025

These Terms and Conditions (the "Terms") govern access to and use of the Hanyhost products, websites, mobile applications, and related services (collectively, the "Service") provided by Hanyhost ("Hanyhost", "we", "us", or "our"). By accessing or using the Service, you (the "Customer", and together with its administrators and Authorized Users, "you" or "your") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Business-to-business service; Authorized Users

The Service is offered as a business-to-business solution intended for organizations (including companies, schools and other organizations) that manage teams of Authorized Users such as employees, contractors, faculty, and students. By creating an account or allowing access, you represent and warrant that you are acting on behalf of a business or institution and have authority to bind that entity to these Terms.

  • Account owner. The contracting party is the Customer organization. All accounts provisioned under a Customer (including domain-verified or SSO-provisioned accounts) are deemed controlled by that Customer.
  • Authorized Users. Individuals who access the Service under your account, including employees, students, and other users you invite or who sign up with a Customer-approved email domain, are "Authorized Users." You are responsible for their compliance with these Terms and any applicable laws.
  • Age requirements. Authorized Users must be at least the legal age of employment or enrollment under applicable law. The Service is not intended for children under 13.

2. Accounts, security, and administration

  • Registration. You must provide accurate and complete information during signup and keep it up to date.
  • Credentials. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any suspected compromise.
  • Customer administration. The Customer may designate administrators who can manage settings, provision or deprovision Authorized Users, set policies, access Customer Data, and otherwise administer the Service on Customer's behalf. Hanyhost is not responsible for internal management of your account.
  • Device and network. You are responsible for securing end-user devices and networks used to access the Service, including compliance with any minimum security standards we communicate from time to time.

3. Permitted use and restrictions

You will use the Service solely for lawful business or institutional purposes and in accordance with these Terms. Without limiting the foregoing, you must not:

  • use the Service to violate any law, infringe intellectual property, or invade privacy;
  • misrepresent identity or affiliation, or interfere with the integrity or performance of the Service;
  • attempt to reverse engineer, decompile, or derive source code (except to the extent permitted by law);
  • use any scraper, crawler, bot, or automated means to access the Service except as expressly permitted via documented APIs;
  • upload malware, conduct security testing without prior written authorization, or bypass access controls;
  • use the Service for high-risk activities where failure could lead to death, personal injury, or severe environmental or property damage;
  • use the Service to send spam or unauthorized communications or to harass or harm others;
  • resell, sublicense, or provide the Service to third parties except as allowed in writing by Hanyhost.

4. Customer Data

"Customer Data" means information submitted to or generated in the Service by you or your Authorized Users, including content of communications, configuration, and usage data. As between the parties, you retain all right, title, and interest in and to Customer Data, subject to the licenses granted herein.

  • License to Hanyhost. You grant Hanyhost a worldwide, non-exclusive license to host, process, transmit, display, and use Customer Data as necessary to provide, secure, maintain, improve, and support the Service; to comply with law; and to prevent abuse.
  • Anonymized insights. We may process and aggregate de-identified or anonymized data for analytics, benchmarking, and improving the Service.
  • Data policy. Our privacy practices are described in our Privacy Policy, incorporated by reference.

5. Third-party services

The Service may integrate with third-party products (e.g., authentication, payments, messaging, or data storage). Your use of third-party services is governed by their terms and privacy policies. Hanyhost is not responsible for third-party services and does not warrant or support them unless expressly stated.

6. Payment, plans, and taxes

  • Fees. Access to some features requires payment of fees per our then-current plans. Fees are billed in advance and are non-refundable unless otherwise stated.
  • Changes. We may modify pricing and plans on notice to you; changes apply at the next renewal unless stated otherwise.
  • Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and charges (excluding taxes based on our net income).
  • Late payments. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. We may suspend the Service for unpaid invoices.

7. Suspension; enforcement; abuse

We take abuse seriously. Without limiting any other rights, and in addition to any suspension rights set forth elsewhere in these Terms, Hanyhost may, with or without notice and in its sole discretion, investigate, remove content, restrict, throttle, quarantine, suspend, disable, or terminate any account, Authorized User, or access to the Service, and may delete or preserve Customer Data, where Hanyhost suspects or determines that:

  • these Terms have been violated;
  • abuse, fraud, or illegal activity may have occurred;
  • your use creates a security risk or may cause harm to the Service or any person;
  • required to do so by law enforcement or regulatory request;
  • non-payment, repeated charge failures, or other billing issues occur; or
  • you refuse to cooperate with an investigation.

Hanyhost has no liability arising from any action taken under this section. We may notify the Customer's designated administrator when feasible. We may also report suspected unlawful activity to appropriate authorities and cooperate with investigations.

8. Intellectual property; feedback

  • Ownership. Hanyhost and its licensors own all right, title, and interest in and to the Service, software, and related materials, including all IP rights. Except for the rights expressly granted, Hanyhost reserves all rights.
  • Feedback. If you provide feedback or suggestions, you grant Hanyhost a perpetual, irrevocable, royalty-free license to use and exploit the feedback without restriction or attribution.

9. Confidentiality

Each party agrees to protect the other party's non-public information disclosed in connection with the Service and to use it only for the purposes described in these Terms. Confidentiality obligations do not apply to information that is publicly available, rightfully received from a third party, independently developed, or required to be disclosed by law.

10. Security; data protection

  • Security. We implement reasonable technical and organizational measures to protect the Service and Customer Data. No method of transmission or storage is 100% secure; you acknowledge residual risk.
  • Data processing. Where required by law, we will enter into a data processing agreement ("DPA") with Customer. In case of conflict, the DPA controls.
  • Educational use. For institutions using the Service with students, you represent that you have obtained and maintain all necessary consents and permissions and will configure the Service consistent with applicable student privacy laws.

11. Beta features and trials

We may offer beta or trial features ("Beta Features"). Beta Features are provided "AS IS," may be suspended at any time, and are for evaluation only. Beta Features are excluded from any service level commitments and warranties.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANYHOST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT CUSTOMER DATA WILL BE SECURE OR NOT LOST OR ALTERED.

Hanyhost is an independent service and is not affiliated with, endorsed by, or sponsored by Airbnb, Inc. or any accommodation marketplace. Any references to third-party platforms are for identification and interoperability only.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HANYHOST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION), EVEN IF ADVISED OF THE POSSIBILITY. TO THE EXTENT PERMITTED BY LAW, HANYHOST'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO HANYHOST FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

14. Indemnification

You will defend, indemnify, and hold harmless Hanyhost and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your or your Authorized Users' use of the Service; (b) Customer Data; (c) your breach of these Terms; or (d) alleged violations of law by you or your Authorized Users.

15. Term; termination

  • Term. These Terms apply from your first use of the Service and continue until terminated.
  • Termination for convenience. You may stop using the Service at any time. Some subscriptions renew automatically unless canceled per your plan settings.
  • Termination or suspension by Hanyhost. We may terminate or suspend the Service or any account at any time, with or without notice, for any reason, including for convenience, changes to our business, or suspected abuse.
  • Effect of termination. Upon termination, your right to access the Service ceases. We may, but are not obligated to, retain or provide any Customer Data after termination, subject to applicable law and our policies.

16. Changes to the Service or Terms

We may modify the Service and these Terms at any time. Changes become effective upon posting or as otherwise indicated. If you continue to use the Service after changes become effective, you accept the changes. If you do not agree, you must stop using the Service.

17. Compliance; export; anti-corruption

  • Laws. You will comply with all applicable laws, including privacy, employment, student data, and communications laws.
  • Export. You will not export or re-export the Service in violation of export control or sanctions laws.
  • Anti-corruption. You will comply with anti-bribery and anti-corruption laws and maintain policies and controls reasonably designed to prevent violations.

18. Governing law; dispute resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Except where prohibited by law, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration on an individual basis under the JAMS Rules in San Francisco, California. You waive any right to participate in a class action or class arbitration. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its confidential information or intellectual property.

19. Miscellaneous

  • Notices. Notices to Hanyhost must be sent to legal@hanyhost.com and are deemed given upon receipt. Notices to you may be provided via the Service, email, or your account portal.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign freely.
  • Force majeure. We are not liable for delay or failure due to events beyond our reasonable control.
  • No waiver. Failure to enforce any provision is not a waiver.
  • Severability. If any provision is unenforceable, the remainder remains in effect.
  • Entire agreement. These Terms constitute the entire agreement with respect to the subject matter and supersede all prior agreements or representations.

21. AI and LLM outputs; content and liability disclaimer

Portions of the Service enable the generation of content using artificial intelligence and large language models ("LLMs"). AI-generated outputs are produced based on your prompts and other information you or your Authorized Users provide, and on models' probabilistic behavior. As a result, outputs may at times be inaccurate, incomplete, misleading, offensive, or not aligned with your expectations. You must review, verify, and validate any outputs before relying on them.

  • Probabilistic generation. AI/LLM outputs are generated probabilistically and may vary for the same prompt. Outputs may contain errors, omissions, or outdated information and should not be treated as facts without independent verification.
  • User-supplied information. Outputs are derived from your inputs and Customer Data. You are solely responsible for the accuracy, completeness, and legality of any information you submit and for the way you use the outputs.
  • No professional advice; no endorsement. AI/LLM outputs do not constitute legal, medical, financial, or other professional advice, and Hanyhost does not endorse or warrant any such content. You should obtain advice from qualified professionals where appropriate.
  • User responsibility. You are responsible for your use of AI/LLM outputs and for ensuring compliance with all applicable laws, regulations, and policies. Do not use the Service to submit or disseminate illegal, defamatory, infringing, or otherwise inappropriate content.
  • Moderation and removal. Hanyhost may moderate, remove, restrict, or block content or outputs that we reasonably believe violate these Terms or applicable law, and may suspend accounts in accordance with Section 7.
  • Intellectual property and originality. Hanyhost makes no representation that AI/LLM outputs are unique, original, or non-infringing. Subject to your rights in Customer Data, you may use outputs for your lawful business purposes, but you are responsible for obtaining any permissions and for avoiding infringement of third-party rights.
  • Limitation of liability for AI outputs. To the maximum extent permitted by law, Hanyhost disclaims all liability for any damages, losses, or consequences arising from or relating to your access to, use of, reliance on, or publication of AI/LLM outputs, even if foreseeable.
  • Indemnification for AI outputs. Without limiting Section 14, you will defend, indemnify, and hold harmless Hanyhost from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your prompts, inputs, or use of AI/LLM outputs, including claims of infringement, defamation, privacy, or other violations of law.
  • Agreement. By using Hanyhost's AI features, you acknowledge and agree that outputs are generated based on information you provide and the probabilistic nature of LLMs, and that Hanyhost cannot be held accountable for the content, accuracy, or consequences of such outputs.
