Affiliate Terms

These Affiliate Terms and Conditions (the "Affiliate Terms") govern participation in the Hanyhost affiliate program (the "Program") under which independent partners ("Affiliates", "you" or "your") may promote Hanyhost's SaaS products and potentially receive remuneration for eligible referred customers. These Affiliate Terms supplement and form part of the general Hanyhost Terms and Conditions available at /tc.html. In the event of conflict, these Affiliate Terms prevail solely with respect to the Program.

1. Eligibility and enrollment

  • Business relationship. The Program is intended for business partners, agencies, consultants, creators, or other professionals who promote Hanyhost to their own audiences or customer base. By enrolling, you represent that you are acting in a business capacity and have authority to accept these Affiliate Terms.
  • Application and approval. To join the Program, you must submit the affiliate signup form, accept these Affiliate Terms, and be approved by Hanyhost in writing or through the platform. Hanyhost may approve, reject, or later revoke participation in its sole discretion.
  • Account and accuracy. You must provide complete and accurate information (including legal name, company name, contact details, and payment information) and keep it up to date. Hanyhost may rely on this information when calculating remuneration and processing payouts.

2. Program structure, private keys, and promotion codes

  • Private key. Upon approval, Hanyhost may issue you a private key associated with one or more affiliate remuneration configurations stored in our systems (for example, the Stripe Connect account that will receive payouts and the applicable remuneration rules). This private key is used only to identify you when you sign up and in our internal systems. It is confidential and must not be shared publicly or with customers.
  • Promotion / coupon code. In addition to your private key, Hanyhost will normally issue you a public promotion or coupon code (the code you share with potential customers). This code is what customers enter when subscribing and is what we use to attribute eligible sales to you. Each promotion code is linked in our systems to your underlying private key and its affiliate configuration.
  • Attribution. Eligible referrals are normally attributed when a new customer signs up and subscribes using your promotion / coupon code or another attribution mechanism we explicitly designate (such as a tracked link mapped to the same configuration). If a customer does not use your promotion code or a supported attribution mechanism, Hanyhost is under no obligation to attribute that customer to you.
  • One code per subscription. Unless we state otherwise, only one promotion / coupon code may be associated with a given new subscription at the time of sign-up. Hanyhost's systems will determine which code, if any, is applied.

3. Remuneration and payouts

Remuneration for your referrals, if any, is governed by the affiliate terms configured for your private key in Hanyhost's systems, which your public promotion / coupon code is mapped to.

Hanyhost will compute remuneration based on its internal billing and referral records. Hanyhost's good-faith calculations and records will be final and binding absent a clear, documented error.

4. Eligibility criteria and exclusions

  • New, paying customers. Only new, paying customers who subscribe to an eligible Hanyhost plan using your promotion / coupon code (or another designated attribution mechanism) count toward remuneration. Existing customers, free trials that never convert, and self-referrals may be excluded.
  • Refunds, chargebacks, and fraud. If a customer's payment is refunded, charged back, deemed fraudulent, or reversed for any reason, Hanyhost may reduce, withhold, or claw back any associated remuneration, including from future payments.
  • Program rules. You must comply with all program rules communicated by Hanyhost, including restrictions on advertising, bidding on keywords, and representing yourself as Hanyhost or as an employee of Hanyhost.

5. Payments, taxes, and reporting

  • Payout schedule. Subject to minimum payout thresholds, successful Stripe Connect onboarding, and compliance with these Affiliate Terms, Hanyhost may aggregate eligible remuneration and initiate payouts. To account for potential refunds, chargebacks, failed or reversed payments on subscriptions associated with your promotion / coupon code, Hanyhost will normally delay disbursing payouts for a period of up to two (2) months from the date the underlying customer payment is received. Hanyhost may, in its sole discretion, shorten or extend this delay where reasonably necessary to manage risk, comply with law, or reflect payment processor policies.
  • Currency. Unless we state otherwise, payouts will be made in United States Dollars (USD).
  • Taxes. You are solely responsible for all taxes, duties, social contributions, and other governmental charges applicable to amounts paid under the Program. Hanyhost may withhold or report amounts as required by law.
  • Independent contractor. Your participation does not create any employment, partnership, joint venture, or agency relationship with Hanyhost. You are solely responsible for your own costs, expenses, and compliance with applicable laws in your jurisdiction.

6. Affiliate obligations and acceptable promotion

  • Honest and compliant promotion. You must promote Hanyhost truthfully and in a manner consistent with applicable laws (including advertising, consumer protection, and privacy laws) and with any branding or marketing guidelines we provide.
  • No misrepresentation. You must not make false, misleading, or unapproved claims about Hanyhost, our features, pricing, performance, or relationship with third parties.
  • Compliance with platform policies. If you promote Hanyhost on third-party platforms (for example, social networks, marketplaces, or ad platforms), you must comply with their terms and policies.
  • Prohibited conduct. You must not:
    • engage in spam, unsolicited bulk messaging, or deceptive traffic generation;
    • bid on Hanyhost or similar branded terms where prohibited or in a way that suggests you are Hanyhost;
    • use your coupon/promotion code primarily for personal discounts or self-referrals, unless expressly authorized;
    • use the Program for any illegal, harmful, or abusive purpose.

7. Program changes, suspension, and termination

  • Changes to Program or Terms. Hanyhost may modify, suspend, or discontinue the Program, or update these Affiliate Terms, at any time. Material changes will normally be communicated via the platform or email. Continued participation after changes become effective constitutes acceptance.
  • Termination by you. You may terminate your participation at any time by contacting us or closing your affiliate account. Any unpaid, eligible remuneration will be processed in the ordinary course, subject to these Affiliate Terms.
  • Suspension or termination by Hanyhost. Hanyhost may suspend or terminate your participation at any time, with or without cause, including for suspected fraud, abuse, misrepresentation, violation of these Affiliate Terms, or changes in business strategy.
  • Effect of termination. Upon termination, you must stop using and promoting your private key and any other affiliate-specific materials. Hanyhost may determine, in its sole discretion, whether and to what extent any pending or future remuneration remains payable after termination.

8. Relationship to general Terms, liability, and disclaimers

  • General Terms. Your use of Hanyhost products and services (including your affiliate account) is also governed by the general Hanyhost Terms and Conditions available at /tc.html. Sections relating to intellectual property, confidentiality, security, AI outputs, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution apply to your Program participation as well.
  • No guaranteed earnings. Nothing in these Affiliate Terms guarantees any minimum number of referrals, conversions, or earnings. Your results depend on your own efforts and external factors outside Hanyhost's control.
  • Limitation of liability. To the maximum extent permitted by law, Hanyhost's aggregate liability arising out of or relating to the Program shall be limited as described in the general Terms and Conditions and, in any event, shall not exceed the total remuneration actually paid to you under the Program in the twelve (12) months preceding the event giving rise to the claim.
